Understanding IP Valuation / Royalty Determination:

Avoiding common mistakes

 

This one-day short will cover the study areas outlined below in the form of an interactive, problem-based workshop.

 

The study areas are:

 

  • Discussion of principles and methodologies
  • Determining a reasonable royalty rate
  • Determining discount rates
  • Confirming growth rates and inherent risk
  • Common mistakes (software, royalty-stacking, mis-categorization)
  • Valuation of bare dominiums

 

Understanding and applying the concept of ‘economic ownership’ .

 

The course is designed for attorneys exposed to IP issues, auditors specializing in transfer pricing, technology transfer officers, corporate lawyers, specialists at SARS and SARB, and venture capitalists in the technology field.

 

The short course is being presented by Anthony van Zantwijk. Anthony is a patent attorney and registered tax practitioner (BSc Eng, LLB, LLM (Tax)). He is a partner at Sibanda & Zantwijk Attorneys, specializing in the commercialization, taxation and valuation of IP.

Intellectual Property Commercialization:

Structuring transactions and identifying risks

 

This short course aims to provide an in-depth introduction to the fundamental principles of intellectual property commercialization. The course will cover the study areas outlined below in the form of an interactive, problem-based workshop.
 
The study areas are:
  • Overview of types of IP agreements
  • Discussion of tax and Exchange Control provisions / policies affecting IP agreements
  • Forming technology start-ups
  • Case studies discussing factors that influence the structure of IP agreements
  • Common IP funding arrangements and whether they work
  • Common international IP transactions and whether they work
  • Fingerprints of high risk transactions and "red flags" that should be highlighted in a due diligence
  • Funding technology start-ups (options, risks and incentives available)
  • Process for submitting Exchange Control applications to SARB
